Welcome to Utilery. These Terms and Conditions (“Terms”) govern your use of the Utilery application and services (“Service”) provided by UTILERY SOFTWARE OPC PRIVATE LIMITED (“Company”, “we”, “us”, or “our”).

By accessing or using Utilery, you agree to be bound by these Terms. If you do not agree to these Terms, please refrain from using our application and services.

            International Users: These terms include an agreement to resolve disputes in Bangalore,
            India, and specific notices regarding the transfer of data to US Google Cloud regions for storage and
            processing and to India for analysis and processing as detailed in our Privacy Policy.

2. Eligibility

By using Utilery, you represent that you are at least 18 years of age (or the age of majority in your jurisdiction) and possess the legal authority to enter into these Terms.

3. User Accounts & Security

To access certain utility features, you may need to create an account. You are responsible for:

Providing accurate and complete registration information.
Maintaining the strict confidentiality of your account credentials.
All activities that occur under your account, including credit consumption.
Notifying us immediately of any suspected unauthorized access.
Organizational Access: If your account is managed by an organization, you acknowledge that your organization's administrators have full access to your data, regardless of their physical or geographic location.

4. Credit System & Expiration

Utilery operates on a credit-based "pay-for-what-you-use" model.

Usage & Pricing: Credits are deducted based on the specific utility performed. The credit cost required to use any utility is subject to change. Additionally, some utilities are charged based on the volume of processing (such as the number of pages, file sizes, or data volume). Fractional usage is rounded up to the nearest whole unit.
Expiration: Purchased credits are valid for 12 months from the date of purchase unless otherwise specified. Unused expired credits are non-refundable and carry no cash value.
Non-Transferable: Credits are linked to your specific account and cannot be transferred to other users.

5. Acceptable Use

You agree not to use Utilery for:

Illegal Activity: Processing content that violates local or international laws (e.g., malware, illegal data).
Automated Abuse: Using bots, spiders, or scripts to scrape data or "stress test" the service without authorization.
Reverse Engineering: Attempting to extract the underlying source code or proprietary logic of our utility tools.
Account Sharing: Permitting multiple individuals to use a single personal account.

6. Intellectual Property

Our Rights: All software, algorithms, logos, and interface designs are the exclusive property of UTILERY SOFTWARE OPC PRIVATE LIMITED.
Your Rights: You retain full ownership and rights to any files or data you upload. We only process this data to perform the requested service.
Right of Access for Support: You grant the Company a limited, non-exclusive right to access your uploaded content solely for the purposes of providing technical support, investigating service errors, and improving the algorithmic performance of our utilities. This access is restricted to authorized personnel and is subject to the confidentiality obligations outlined in our Privacy Policy.

7. Limitation of Liability & Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis.

Accuracy Disclaimer: Utilery uses automated tools (e.g., OCR, AI-based conversions). We do not guarantee 100% accuracy and are not liable for errors, data loss, or damages resulting from inaccurate automated processing.
Service Interruptions: We are not liable for any downtime caused by third-party cloud providers or global internet outages.
Liability Cap: To the extent permitted by law, our total liability for any claim shall not exceed the amount paid by you for the service in the 12 months preceding the claim.

8. Export Control & Sanctions

You represent and warrant that you are not located in a country subject to a U.S. or Indian government embargo, and you are not listed on any government list of prohibited or restricted parties.

9. Termination

We reserve the right to suspend or terminate your access immediately, without prior notice, if you breach these Terms or engage in conduct that harms the platform's integrity.

10. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Bangalore, Karnataka.

11. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including acts of God, war, riots, global internet outages, or government-mandated lockdowns.

12. Changes to Terms

We may modify these Terms at any time. Significant changes will be posted within the app. Your continued use of Utilery after such changes constitutes acceptance of the updated Terms.
